1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of ZynoLoop ("we," "us," "our"), including our website at zynoloop.com and all associated services, features, and content (collectively, the "Service").

By creating an account or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years of age to create an account and use ZynoLoop. By using the Service, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding agreement.

ZynoLoop is intended for use by freelancers, agencies, and other business users who deliver work to clients. Use of the Service does not require your clients to create an account.

3. Accounts and Authentication

Account creation and authentication on ZynoLoop is handled through Clerk, a third-party identity and authentication provider. When you sign up, you are subject to Clerk's terms of service and privacy policy in addition to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. If you become aware of any unauthorised use, notify us immediately at zynoloop@gmail.com.

4. The Service

ZynoLoop provides a client-facing delivery and approval platform that allows registered users ("Agency Owners") to:

• Create shareable review links ("Magic Links") containing deliverables for client review
• Collect client approvals or change requests through a no-login client review page
• Collect and AI-polish client testimonials at the point of project approval
• Organise deliverables, milestones, and client feedback through a user dashboard

Clients who access a Magic Link to review and approve deliverables are not required to create an account and are not considered registered users of the Service.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify registered users of significant changes.

5. Acceptable Use

You agree to use ZynoLoop only for lawful purposes and in a manner consistent with these Terms. You agree that you will not:

• Use the Service to deliver, share, or solicit content that is illegal, defamatory, obscene, harmful, or infringes the rights of any third party
• Attempt to gain unauthorised access to any part of the Service, our servers, or any system or network connected to the Service
• Use the Service to distribute malware, spam, or any form of harmful or deceptive content
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated scripts, bots, or scrapers to access or interact with the Service without prior written permission
• Misrepresent your identity or affiliation when using the Service
• Use the Service in any way that could damage, disable, overburden, or impair its functionality

6. User Content

You retain full ownership of all content, files, links, and materials you upload, share, or create through ZynoLoop ("User Content"). By using the Service, you grant ZynoLoop a limited, non-exclusive, royalty-free licence to store, process, and display your User Content solely to the extent necessary to provide the Service to you.

We do not claim ownership of your User Content and will not sell, rent, or share it with third parties except as described in our Privacy Policy or as required by law.

You are solely responsible for the accuracy, legality, and appropriateness of all User Content you submit through the Service.

7. File Storage and Security

Files and deliverables stored on ZynoLoop are held on our servers. While we implement reasonable technical and organisational measures to protect your data, our team technically has the ability to access files stored on the platform, even though we do not actively monitor or access User Content in the ordinary course of operating the Service.

You are responsible for ensuring that any files you upload or share do not contain sensitive personal data belonging to third parties beyond what is necessary for the intended use case.

8. Third-Party Integrations

ZynoLoop integrates with the following third-party services. Your use of these integrations may be subject to the respective third party's terms and privacy policies.

• Clerk — Authentication and identity management
• DodoPayments — Payment processing. ZynoLoop does not store, process, or have access to your payment card details at any point.
• Google AI — Powers the AI testimonial polishing feature
• Google Analytics 4 and Google Search Console — Usage analytics and performance monitoring

9. Payments and Subscriptions

ZynoLoop offers a Free plan and paid subscription plans. Paid plans are billed through DodoPayments.

Billing. Subscriptions are billed in advance on a monthly or annual basis. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.

Cancellation. You may cancel your subscription at any time from your dashboard. Upon cancellation, you will retain access to paid features until the end of your current billing period. No further charges will be made after cancellation.

Refunds. We do not offer prorated refunds for unused time within a billing period. If you cancel, your access continues until the period ends and no partial refund is issued.

Price changes. We reserve the right to change our pricing at any time with reasonable advance notice to active subscribers. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Failed payments. If a payment fails, we may suspend access to paid features until payment is successfully processed.

10. Account Termination

By you. You may delete your account at any time from your account settings. Your data will be retained for a grace period of 14 days, after which it will be permanently deleted. You may contact us during this period to cancel the deletion.

By us. We reserve the right to suspend or terminate your account if we determine that you have violated these Terms, engaged in fraudulent activity, or otherwise misused the Service. Data from terminated accounts is retained for up to 30 days before permanent deletion.

Upon termination of your account for any reason, your right to use the Service ceases immediately.

11. Intellectual Property

All intellectual property rights in the ZynoLoop platform — including the software, interface design, branding, logos, and documentation — are owned by or licensed to ZynoLoop. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the Service.

You agree not to copy, reproduce, modify, or create derivative works of any part of the Service without our prior written consent.

12. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.

We make no warranty that AI-generated testimonial content produced by the Service will be accurate, appropriate, or suitable for any specific purpose. You are solely responsible for reviewing, editing, and approving any AI-generated content before using it.

13. Limitation of Liability

To the fullest extent permitted by applicable law, ZynoLoop and its team shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or related to your use of the Service.

Our total liability to you for any claim shall not exceed the amount you paid to ZynoLoop in the three months immediately preceding the event giving rise to the claim, or INR 1,000, whichever is greater.

Nothing in these Terms excludes or limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under applicable Indian law.

14. Indemnification

You agree to indemnify, defend, and hold harmless ZynoLoop and its team from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your User Content, or your violation of these Terms or any third party's rights.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

16. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify registered users by email. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
